Terms of Service

Effective Date: September 1, 2026

These Terms of Service ("Terms") govern access to PaperFree Case Sheet and its OdioPapeleo mobile app (together, the "Service"), business operations software operated by Empire Extremity ("we," "our," or "us"). The Service is licensed exclusively to verified medical-device distributor organizations. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

The distributor organization is the customer and owns and administers its workspace. You may use the Service only as an employee or contractor whom an approved distributor organization has authorized. The Service is not offered to patients, families, consumers, clinicians acting independently, general medical professionals, independent representatives, or individual app subscribers.

2. Description of Service

The Service provides medical-device distributor operations tools, including order management, inventory tracking, case scheduling, commission tracking, PDF documentation, and an optional integration with Google Calendar for synchronizing scheduled surgical cases. We may add, modify, or discontinue features at any time.

3. Accounts and Access

Accounts are created only through organization-admin provisioning or a valid organization invitation. There is no public or in-app account creation. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Your organization controls your workspace membership and role and may manage or revoke your access.

4. Organization Licensing and Billing

Organization licensing, billing, and initial provisioning are handled through a staff-controlled business qualification process outside the iOS and Android apps. The apps do not offer purchases, upgrades, checkout, or directions to an external purchase flow. Authorized users do not purchase individual app subscriptions.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the App, other users' accounts, or our systems
• Interfere with or disrupt the integrity or performance of the App
• Reverse engineer, copy, or resell any part of the App except as permitted by law
• Upload content that is unlawful, harmful, or infringes the rights of others

6. Third-Party Services

The App integrates with third-party services, including Google Calendar. Your use of those services is subject to their respective terms and privacy policies. When you connect Google Calendar, our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may disconnect Google Calendar at any time as described in our Privacy Policy.

7. Intellectual Property

The App, including its software, design, and content (excluding data you enter), is owned by Empire Extremity and protected by intellectual property laws. You retain ownership of the data you submit to the App and grant us a limited license to process it solely to provide the service.

8. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure. The App is a workflow and record-keeping tool and does not provide medical advice.

9. Limitation of Liability

To the maximum extent permitted by law, Empire Extremity and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the App. Our total liability for any claim arising out of these Terms or the App will not exceed the amounts you paid to us in the twelve months preceding the claim.

10. Termination

We or your distributor organization may suspend or terminate your access if you violate these Terms, your authorization ends, the organization's license ends, or we discontinue the Service. You may stop using the Service and request deletion of your account at any time, subject to the organization's legitimate business record-retention requirements. Certain provisions of these Terms survive termination.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms or by other appropriate means. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Empire Extremity is established, without regard to conflict of law principles.
